Terms of Use

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING CUB SOFTWARE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND ALL APPLICABLE LAWS AND REGULATIONS.

1. Acceptance of Terms

By accessing, browsing, or using CUB SOFTWARE services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree with any part of these Terms, you must immediately discontinue use of our Services.

These Terms constitute a legally binding agreement between you and CUB SOFTWARE. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services following any modifications constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years of age to use our Services. If you are under 18 years of age, you represent that you have your parent's or legal guardian's permission to use the Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Service Description

CUB SOFTWARE provides a suite of free online tools and applications for personal, non-commercial use. Our Services include but are not limited to:

• Stream Overlays: Browser-source overlays for live streaming

• CUB Studio: Desktop streaming application with a theme and plugin marketplace, cloud settings backup and a Discord bridge
• CUB AI: AI chat assistant at ai.cubsoftware.site and inside CUB Protector
• CUB Games: Browser games with public leaderboards and a Twitch group mode
• Developer API: Free public API endpoints

Platform

• Affiliate Program: Vanity link and commission tracking for approved affiliates
• Vanity Profiles and Public Profiles: Public-facing profile pages

These Services are provided "AS IS" and "AS AVAILABLE" for personal use only. We reserve the right to modify, suspend, or discontinue any Service at any time without notice.

4. User Accounts and Authentication

Some Services require authentication through third-party providers (Discord OAuth or Twitch OAuth) via the unified CUB SOFTWARE login system. By authenticating:

• You authorize us to access certain information from your third-party account as permitted by that platform
• You are responsible for maintaining the security of your account credentials
• You agree to notify us immediately of any unauthorized access to your account
• You are solely responsible for all activities that occur under your account

We reserve the right to terminate or suspend your account at any time for any reason, including but not limited to violation of these Terms.

5. User Responsibilities

As a user of our Services, you agree to:

• Use the Services only for lawful purposes and in accordance with these Terms
• Respect all applicable copyright laws, trademark laws, and intellectual property rights
• Not download, copy, or distribute content you do not have the legal right to access
• Not use downloaded content for commercial purposes without proper authorization
• Comply with the terms of service of any third-party platforms our Services interact with
• Not misrepresent your identity or affiliation with any person or organization
• Accept sole responsibility for how you use content obtained through our Services
• Not use the Services in any way that could damage, disable, or impair our servers or networks

6. Prohibited Activities

You agree NOT to use our Services to:

• Download, distribute, or share copyrighted content without proper authorization from the copyright holder
• Create, share, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Distribute malware, viruses, or any other harmful code
• Create shortened links (via our Link Shortener) that redirect to malicious websites, phishing pages, illegal content, or spam
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of our Services
• Use automated scripts, bots, or scrapers to access our Services without authorization
• Circumvent, disable, or interfere with security-related features of our Services
• Engage in any activity that violates applicable local, state, national, or international laws
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Collect or store personal data about other users without their consent
• Use the Services for any commercial purpose without our express written consent
• Overload, flood, or spam our servers or Services
• Share server templates (via CleanMe) that contain inappropriate server structures or violate Discord's Terms of Service

7. User-Generated Content

Our Services allow users to create, upload, share, or submit content including but not limited to:

• Shortened URLs via the Link Shortener
• Server templates via CleanMe Website
• Shared resumes, countdowns, and sticky boards
• Public profiles, uploaded images, and themes and plugins published to the CUB Studio marketplace
• Song requests, giveaway campaigns, and Server Pages
• Reports and feedback submissions

By submitting content through our Services, you:

• Represent and warrant that you own or have the necessary rights to the content
• Grant CUB SOFTWARE a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with providing our Services
• Acknowledge that your content may be accessible to other users depending on the sharing settings you choose
• Accept sole responsibility for your content and any consequences arising from its publication

We do not endorse, verify, or guarantee the accuracy of any user-generated content. We reserve the right to remove any content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice.

8. Link Shortener Terms

The Link Shortener service (cubsw.link) is provided for legitimate URL shortening purposes only. By using this service, you agree that:

• You will not create shortened links to malicious, illegal, or harmful content
• You will not use shortened links for phishing, scams, or fraud
• You will not create links to content that violates third-party rights
• We may log your IP address for abuse prevention and may share this information with law enforcement if required
• We reserve the right to disable any shortened link at any time without notice
• We are not responsible for the content of destination URLs
• Shortened links may be subject to rate limiting

9. Discord Bot Terms

Our Discord bots (QuestCord, CleanMe, CUB Protector) operate within Discord's platform. By using our bots:

• You agree to comply with Discord's Terms of Service and Community Guidelines
• You acknowledge that our bots require certain permissions to function properly
• You accept responsibility for any actions taken by our bots in servers where you have administrator privileges
• You understand that the CleanMe /clean, /cleanroles and /cleanchannels commands, and /copy in its default Replace mode, delete existing server content; CleanMe takes a safety backup first, but messages in deleted channels cannot be restored
• You agree not to use our bots to harass, spam, or abuse other Discord users
• CUB Protector moderation actions (bans, kicks, mutes, warnings) are final and may not be reversible; you are responsible for configuring the bot appropriately
• The CUB Protector Custom Bot feature allows you to operate a personalised Discord bot using your own bot token. You are solely responsible for the conduct of your custom bot and must ensure it complies with Discord's Terms of Service at all times. Your bot token is stored securely and is never exposed publicly, but you accept full responsibility for keeping it valid and for any actions performed by your bot
• The Auto-Translation feature processes message content in configured channels to produce translated output. Message content is transmitted to third-party translation APIs (Google Translate, LibreTranslate, MyMemory) for this purpose. We do not store the content of translated messages
• We are not responsible for any data loss or moderation actions resulting from bot usage

9a. Twitch Integration Terms

Services that integrate with Twitch (Multi-Twitch, CubReactive, CubPresence, Stream Overlays) operate within Twitch's platform. By using these services:

• You agree to comply with Twitch's Terms of Service and Community Guidelines
• You acknowledge that Twitch chat features require authentication via Twitch OAuth
• You are responsible for any messages sent through chat integration features
• We are not responsible for changes to Twitch's API that may affect Service functionality

9b. Affiliate Program Terms

The CUB SOFTWARE Affiliate Program is open to applicants who submit an application at cubsoftware.site/affiliate/apply. All applications are subject to review and approval by our team. By participating:

• You agree to promote CUB SOFTWARE honestly and in compliance with applicable advertising laws
• You must not use deceptive, misleading, or spam-based promotion methods
• You must not artificially inflate click counts or engage in click fraud
• Commission rates and payout terms are set per affiliate and may be adjusted at our discretion
• We reserve the right to reject any application without obligation to provide a reason
• We reserve the right to terminate your affiliate status and withhold commissions if you violate these Terms
• Your vanity link and affiliate account remain our property and may be revoked at any time

9c. Feature Access Requirements

Certain advanced features offered by CUB SOFTWARE require you to be an active member of the official CUB SOFTWARE Discord server. Features subject to this requirement currently include:

• Custom Bot — The ability to run a personalised Discord bot under your own branding via the CUB Protector dashboard
• CubReactive — The voice-reactive streaming overlay tool

By using these features, you acknowledge and agree that:

• Membership in the official CUB SOFTWARE Discord server is a condition of access and may be verified at any time
• If you leave or are removed from the CUB SOFTWARE Discord server, your access to these features may be suspended without notice
• CUB SOFTWARE reserves the right to add, remove, or modify which features require server membership at any time
• Server membership does not constitute a paid subscription or contractual entitlement to any feature; all services remain free and may be modified or discontinued at our discretion

9d. CUB Radio, CUB Jukebox and CUB Greenscreen

• Requests must not be unlawful, hateful, sexually explicit, or intended to harass anyone. We may skip, remove or block any request, and block a requester, at our discretion
• Your display name is shown with your request and may be read out on air
• CUB Radio plays music for listening only; you may not record or rebroadcast the station
• If you use CUB Jukebox or CUB Greenscreen on your own stream, you are responsible for what plays on your broadcast, including the music rights and your streaming platform's rules. Only allow requests you are entitled to broadcast

9e. CUB Rewards (Giveaways)

CUB SOFTWARE provides the tool; each campaign is run by its host, not by us. If you host a campaign:

• You are responsible for the prize, for delivering it, for setting fair rules and eligibility, and for complying with the laws that apply to giveaways where you and your entrants are
• You must follow the promotion rules of any platform your campaign uses (for example Twitch, YouTube, Discord and Steam), and must not require anything those platforms forbid
• You must not use entrants' information for anything other than running your campaign

If you enter a campaign, you agree to its rules and to the checks it makes against your connected accounts. Draws are random and weighted by the entries you earned; we may disqualify entries that break the rules or appear fraudulent, and we may remove any campaign. We are not responsible for prizes or for a host's conduct.

9f. CUB Studio

• CUB Studio is provided free of charge for your own use. It is built on open-source software, including OBS Studio, and those parts remain under their own licences (such as the GNU General Public License). Nothing in these Terms, including section 6, limits the rights those licences give you
• Themes and plugins in the marketplace are made by their authors. Plugins run code on your computer, so install only those you trust; we may review, remove or disable any item, but we do not guarantee that any item is safe or works
• By publishing a theme or plugin you confirm you have the right to share it, and you grant everyone who installs it a free licence to use it with CUB Studio
• A cloud backup key gives access to that backup. Keep it private; we cannot recover a backup if you lose its key
• Stream keys and connected accounts you add are used only to provide the feature you set up. You are responsible for following the rules of each platform you stream to

9g. CUB AI

• Answers are generated automatically and can be wrong, incomplete or out of date. Do not rely on them for medical, legal, financial or safety decisions
• Do not use CUB AI to create unlawful, harmful or harassing content, or to impersonate others
• Do not share passwords or other sensitive personal information with it
• Accounts on ai.cubsoftware.site are approved by us, and we may suspend them at any time

9h. Developer API and Server Pages

• The Developer API is free and may change, be rate limited or be withdrawn at any time. Do not use it in a way that overloads our servers or breaks these Terms
• If you publish a Server Page, you are responsible for its content, including member names shown on leaderboards, and must follow Discord's rules for your server

10. Third-Party Services and Links

Our Services may contain links to or integrate with third-party websites, services, or platforms (including but not limited to Instagram, TikTok, Twitter/X, Facebook, YouTube, Discord, and various APIs). We are not responsible for:

• The content, accuracy, or practices of any third-party services
• Any damages or losses caused by your use of third-party services
• Changes to third-party APIs that may affect our Services' functionality

Your use of third-party services is governed by their respective terms of service and privacy policies.

11. Intellectual Property

The CUB SOFTWARE name, logo, and all related trademarks, service marks, and trade names are the property of CUB SOFTWARE. The Services, including all code, design, text, graphics, and interfaces, are owned by CUB SOFTWARE and protected by intellectual property laws.

Content downloaded or accessed through our Services remains the property of its respective copyright holders. We do not claim ownership of any third-party content.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will be compatible with your device or software

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUB SOFTWARE AND ITS OWNER, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or other harmful code that may be transmitted through the Services
• Any errors or omissions in any content obtained through the Services
• The conduct of any third party on the Services
• Any content downloaded using our Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS (WHICH IS $0 FOR FREE SERVICES).

14. Indemnification

You agree to indemnify, defend, and hold harmless CUB SOFTWARE, its owner, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit, post, or transmit through the Services
• Your violation of any applicable laws or regulations

15. Access Restrictions and Bans

We reserve the right to restrict, suspend, or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Suspicious or abusive activity
• Request by law enforcement or government agencies
• Technical or security issues

IP addresses may be banned temporarily or permanently, including automatically when a connection probes our servers for vulnerabilities. Banned users may not attempt to circumvent bans by using VPNs, proxies, or other means. If you believe a ban is a mistake, you can appeal it at cubsoftware.site/ip-ban-appeal.

16. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete any content or data associated with your use
• All provisions of these Terms which by their nature should survive termination shall survive

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of New Zealand. If you use CUB SOFTWARE as a consumer, nothing in these Terms removes any protection you have under the consumer laws of the country you live in.

18. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Services, constitute the entire agreement between you and CUB SOFTWARE regarding the use of our Services and supersede any prior agreements.

21. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by CUB SOFTWARE.

22. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

23. Force Majeure

CUB SOFTWARE shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
